Registered Agent Services in Delaware

✓ Verified & updated 2026-08-07

Delaware is the classic non-resident LLC state — and its registered agent requirement is tightly wound up with a mandatory $300/year flat LLC tax that has nothing to do with how much money your business makes. Delaware calls this role a "registered agent."

Delaware's requirement, in plain terms

8 Del. C. §132 (corporations) and 6 Del. C. §18-104 (LLCs) require a physical Delaware office address, with the agent generally expected to be available during normal business hours to accept service of process. A PO box alone doesn't satisfy this.
Who can serve as agent.

Broader than most states: an individual Delaware resident, another Delaware domestic entity, a foreign entity authorized in Delaware, or — unusually — the entity itself, if it maintains a Delaware business office identical to its registered office. That last option isn't available in California or Texas, which explicitly ban an entity from serving as its own agent.

Changing agents.

Changing your registered agent costs $50 for most corporations and LLCs ($5 for exempt nonstock/nonprofit corporations).

What's actually different here.

Every Delaware LLC owes a flat $300 annual tax by June 1, regardless of income or activity, and it's typically your registered agent who reminds you it's due. Delaware has no state income tax on LLCs with no Delaware-source income — the $300 flat tax is the real, non-negotiable cost people forget about when they hear "no income tax."

Our picks for Delaware

For a first-time non-resident Delaware filer, Harbor Compliance's named account manager can be worth the extra hand-holding around the $300 franchise tax deadline. Northwest and Registered Agents Inc are both solid if you're comfortable managing the calendar yourself.

Northwest Registered Agent
Best overall
$125/yrregistered agent, per year

The default pick. Flat pricing, real support, privacy built in. If you're not sure who to choose, choose this one.

Registered Agents Inc
Best if you want annual report filing bundled in
$200/yrregistered agent, per year

Worth the premium specifically because annual report filing is included — run the math against paying for RA + a separate annual-report service elsewhere before assuming it's expensive.

Harbor Compliance
Best for a dedicated account-manager feel
$99/yr intro, renews at $149/yrregistered agent, per year

Good pick if the idea of a named account manager over a call-center queue matters to you — just lock a multi-year rate at signup or budget for the renewal jump.

Delaware questions

Does my Delaware LLC owe tax if I don't live there and do no business there?

No state income tax on out-of-state income, but the flat $300 annual LLC tax is due every year regardless — and it's usually your registered agent's compliance reminder that keeps you from missing it.

What happens if I don't have a registered agent in Delaware?

In practice, letting your registered agent lapse puts your entity at risk of falling out of good standing — this is standard practice across commercial agents even though we didn't find one specific statutory sentence that spells out an automatic penalty.
